Landowner Network Terms

1. Who these terms are between

These terms are between Estavelle Ltd ("Estavelle") and the person or entity that owns or controls the land or building in question ("the Owner").

They apply from the point the Owner submits site information to Estavelle, and continue for as long as Estavelle holds that information or the parties are in contact about the site.

2. What the Asset Passport is

The Asset Passport is a free desktop commercial appraisal of what a site could earn across the uses it appears to suit. It sets out up to three ranked routes, each with an indicative range, the drivers behind that range, and a status of Green, Amber or Red.

Every figure is a range, never a single figure, and every issued Passport carries an ILLUSTRATIVE stamp.

3. What the Asset Passport is not

It is not a RICS valuation. It is not a survey. It is not planning advice, tax advice, or regulated financial advice. It is not an offer, and no figure in it is a guarantee, a forecast, or a promise of income.

Estavelle does not produce survey, topographical or planning drawings. Where a chosen route requires them, they are commissioned from qualified professionals and that cost is not borne by the Owner under these terms.

A Red status means Estavelle has concluded the route does not work. Estavelle does not soften a Red finding, and an Amber finding means not yet rather than no.

4. What the Owner pays

Nothing, at any stage, for anything in these terms.

There is no charge for the appraisal, for the work of producing it, for an introduction, or for Estavelle's time. The Owner is never invoiced by Estavelle for the Passport or for being placed in the network.

5. What Estavelle earns, and when

If a site is activated through Estavelle and begins trading, Estavelle takes a share of the gross takings of that trading business, agreed in writing before anything starts. The rate depends on how much of the transaction Estavelle carries.

12.5 per cent where an end customer books and pays through Estavelle's booking system. Three parties are involved, being the Owner, the operator and the customer, and Estavelle carries the booking, the payment and the record.

10 per cent where an operator takes space directly from the Owner through the platform and no end customer transacts with Estavelle. Two parties are involved and Estavelle is the matching and standards layer.

Which rate applies is determined by whether payment settles through Estavelle, not by how the arrangement is described.

That share is paid out of what the site earns. It begins when the site begins earning and not before. If the site earns nothing, Estavelle earns nothing.

Where works are needed to bring a site into use, those works are funded by the operator, not by the Owner and not by Estavelle. Works are completed and paid for before the term starts. The operator bears the loss if the arrangement does not proceed. The Owner either approves the contractor or receives an assignment of the warranty. A separate one-off structuring fee may apply to that arrangement, agreed in writing in advance, and it does not change the share above.

Estavelle does not buy the land, does not fund construction, and does not take possession. This is structural and is not varied by agreement.

6. The Owner's rules

Before any introduction is made, the Owner sets the rules for the site: what is allowed, what is not, and when. These are recorded and form part of any arrangement that follows.

No operator is introduced who cannot work inside those rules. The Owner may change the rules at any time before an arrangement is agreed, and afterwards by agreement.

7. Site information

The Owner confirms they have the authority to provide the information they submit and, so far as they are aware, that it is accurate.

Estavelle uses site information to produce the Passport, to assess routes, and to match the site to operators. Estavelle does not publish exact addresses, contact details, or the Owner's notes and files. Where a site is not activated, it is held in a standing opportunity bank with a recorded reason, visible to the Owner, until the Owner asks for it to be removed.

8. Introductions

Estavelle does not name an operator to the Owner until an arrangement is contracted.

Where Estavelle introduces the Owner to an operator, or an operator to the Owner's site, the Owner agrees not to contract with that party for that opportunity outside Estavelle for thirty-six months from the end of the relevant relationship. This runs from the end of the relationship, not from the date of introduction.

This clause does not apply to a party the Owner can show they were already in discussion with about the same opportunity before the introduction.

9. No obligation

The Owner is under no obligation to proceed with any route, to accept any operator, or to do anything at all after receiving a Passport.

Either party may end these terms at any time by saying so in writing. Ending them does not affect an arrangement already agreed, and clause 8 survives.

10. If the land or the business changes hands

If the Owner sells or transfers the land, or sells the business operating on it, the Owner will use reasonable efforts to procure that the incoming party accedes to any arrangement already agreed under these terms. Nothing in this clause restricts the Owner's ability to sell.

11. Liability

Estavelle is not liable for decisions the Owner takes on the strength of a Passport, for income that does not materialise, or for the acts of an operator once an arrangement is in place between the Owner and that operator.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Activating a site can affect agricultural and business property reliefs. Estavelle does not advise on tax and does not claim to solve a tax position. The Owner should take their own advice.

12. Data, version and law

Estavelle processes personal data in line with its privacy notice. The Owner may ask for their information and their site record to be erased at any time.

These terms are version ln-2026-09. The version in force is the one published when the Owner submitted their site information. These terms are governed by the law of England and Wales.
